TERMS AND CONDITIONS

for the sale of goods through an online store located at https://ottodiy.ecwid.com/ (hereinafter the āWebsiteā).
1. PRELIMINARY PROVISIONS
1.1. These terms and conditions (hereinafter the "Terms and Conditions") of Otto DIY Workshop s.r.o., residing on the address Nové Sady 988/2, Staré Brno, 602 00 Brno, Czech Republic, identification number: 08237841, registered in the Commercial Registry at the Regional Court in Brno, section C, file 112621 (hereinafter referred to as "Seller") govern in accordance with § 1751 par. 1 of Act No. 89/2012 Coll., Civil Code (the "Civil Code") of the Czech Republic mutual rights and obligations arising in connection with or pursuant to the purchase agreement (hereinafter the "Purchase Agreement") concluded between the seller and any other natural person (hereinafter the "Buyer") through the online shop of the seller. The online shop is operated by the seller on the website https://ottodiy.ecwid.com/ via the web interface (hereinafter the "Web Interface of the Shop").
1.2. Terms and conditions do not apply to cases where a person who intends to purchase goods from the seller is a legal entity or person who is ordering goods in the course of their business or in their separate occupations.
1.3. Any provisions differing from the Terms and Conditions may be arranged in the Purchase Agreement, which is concluded by means of distant communication (via an order and its confirmation) in English language. Any such differing provisions of the Purchase Agreement shall prevail over the provisions of these Terms and Conditions.
1.4. Provisions of the Terms and Conditions are an integral part of the Purchase Agreement. The online shop on the website is in English language. These Terms and Conditions are written and available on the website in both English and Czech language. In case of divergence between the language versions, the Czech version shall prevail.
1.5. The Terms and Conditions may be modified or amended by the Seller. This provision shall not in any way affect the rights and obligations which had arisen during the validity of the previous wording of the Terms and Conditions.
2. CONCLUSION OF THE PURCHASE AGREEMENT
2.1. Any presentation of the goods placed in the Web Interface of the Shop is informative and seller is not obliged to conclude a purchase agreement regarding this product. The provisions of § 1732 par. 2 of the Civil Code shall not apply.
2.2. Web Interface of the Shop provides information about goods, including purchase price of individual goods and costs associated with packaging and shipment of the goods (these costs depend on the weight of the products ordered, the delivery address of the Buyer and the selected type of shipment). The final price, which is generated on the website after putting the selected goods into the shopping cart and selecting the requested type of shipment, does not include the customs duty, VAT or any other tax burden imposed according to the legal regulations of the country of delivery, which need to be paid in connection to the import of the goods into the country of delivery and which the Buyer is obliged to pay in addition to the final price (the final price within the meaning of this provision, hereinafter the āFinal Priceā).
2.3. The Purchase Price remains in force as long as it is displayed in the Web Interface of the Shop. This provision shall not affect the entitlement of the Seller to conclude the Purchase Agreement under individually negotiated conditions.
2.4. To order goods, the Buyer shall fill an order (an offer to conclude an agreement) via a form in the Web Interface of the Shop. The order form contains information about:
2.4.1. specification of the subject of Purchase Agreement - the ordered goods (the ordered goods shall be "added" by the Buyer into an electronic shopping cart in the Web Interface of the Shop),
2.4.2. the complete name and surname of the Buyer,
2.4.3. e-mail address of the Buyer (necessary for sending the confirmation of the order and any possible resulting communication of the agreement parties), hereinafter the āElectronic Address of the Buyerā,
2.4.4. telephone number of the buyer (necessary for delivering the goods and for contact with the Customs authorities when the goods enter into the country of destination - the country of delivery),
2.4.5. delivery address (street and house number, postal code, city and country - country of destination/delivery),
2.4.6. method of payment of the purchase price of the goods, which is possible only in a cashless way via a payment gateway,
2.4.7. details regarding the requested method of delivery of the ordered goods,
2.4.8. information about the costs associated with the shipment of the goods,
2.4.9. note from the Buyer (facultative)
(hereinafter collectively referred to as the "Order").
2.5. Before sending the order, the Buyer is redirected to the payment gateway, where the Final Price needs to be paid.
2.6. The Buyer can send the order to the Seller (i.e. the website will enable the Buyer to send it) only if all the following conditions are fulfilled:
2.6.1. after filling all the boxes in the order form, excluding the box for a note, which is facultative
2.6.2. after sending the Final Price via the payment gateway
2.7. The Buyer is responsible for providing all information in a correct and true manner; the Seller considers all data provided by the buyer to be correct and does not perform any verification. In case of filling incorrect data in the order form or a change in the data after filling in the order form before the delivery of the goods, the Buyer is obliged to inform the Seller without delay.
2.8. The Buyer may perform orders without registration directly on the Web Interface of the Shop.
2.9. Before sending the Order to the Seller, the Buyer is entitled to review and change the data which were inserted into the Order by the Buyer, also with the opportunity for the Buyer to identify and correct errors which occurred when inserting the data into the Order.
2.10. The Buyer will submit the Order to the Seller by clicking on the button āPlace Orderā.
2.11. Upon receiving the Order, the Seller shall instantly send an automated confirmation of the Order to the Buyer via electronic mail, namely to the electronic address of the Buyer. The Purchase Agreement, with the content specified in the Order and in these Terms and Conditions, is concluded at the moment when the confirmation e-mail from the Seller is delivered to the Buyer (i.e. at the moment of confirmation of the order by the Seller).
2.12. If the Buyer uses the box labeled ānoteā in the order form for a request regarding a change of the content of the Purchase Agreement (a variance from these Terms and Conditions or from the preset text of the order form - e.g. a request for a different type of transportation etc.), the Purchase Agreement is not concluded by an automated confirmation e-mail within the meaning of the previous paragraph (2.11) but it is concluded only at the moment when the Seller responds to the note from the Buyer in a way that explicitly confirms the request (a variation from these Terms and Conditions or from the standard order form). If the Seller does not confirm the request from the Buyer (for example because the note was in a form of a question, which needs to be answered by the Seller), the Purchase Agreement is only concluded at the moment when the communication between the contracting parties shows that the parties reached an agreement over the particulars of the Purchase Agreement (including the matter addressed in the note). If the contracting parties do not reach an agreement over the content of the Purchase Agreement in an adequate time since submitting the order by the Buyer, the Purchase Agreement has not been concluded and the Seller is obliged to refund the received Final Price (which has been sent by the Buyer via the payment gateway when submitting the order) back to the Buyer; the Buyer is obliged to provide necessary cooperation to the Seller regarding the money refund.
2.13. Costs incurred by the Buyer when using the means of distant communication in connection with concluding a Purchase Agreement (cost of internet access, telephone costs) shall be paid by the Buyer, and these costs do not differ from the standard rate.
3. PRICE AND PAYMENT TERMS
3.1. The Final Price (i.e. the Purchase Price and the costs associated with the packaging and shipment of the goods) may be paid by the Buyer to the Seller only in a cashless manner via the Mollie Payment System (payment gateway).
3.2. The Seller requires the Buyer to send the entire Final Purchase Price before sending the Order and to receive the price (to the bank account of the Seller) before dispatching the goods to the Buyer. The provision of § 2119 par. 1 of the Civil Code shall not apply.
3.3. Any discounts on the price of goods provided by the seller to the buyer cannot be combined.
3.4. If it is customary in trade relations or if so provided by generally binding legal regulations, the Seller shall issue an invoice to the Buyer regarding the payments performed on the basis of the Purchase Agreement. The Seller is not a VAT payer. The invoice shall be issued by the Seller to the Buyer after the purchase price has been paid and shall be sent in an electronical form to the electronical address of the Buyer.
3.5. Refund of the Final Purchase Price when not concluding a Purchase Agreement - see paragraph 2.12 of these Terms and Conditions.
3.6. Refund of the Final Purchase Price when withdrawing from the Purchase Agreement - see Article 5 of these Terms and Conditions.
4. TRANSPORTATION AND DELIVERY OF THE GOODS
4.1. The Seller is a legal entity under the Czech law established in the Czech Republic, which is a member state of the European Union. The Seller has their registered office in the Czech Republic. Since the goods are manufactured for the Seller in the Peopleās Republic of China (PRC), the Buyer acknowledges that in order to achieve the lowest possible charge for the Buyer regarding the costs of transportation, customs duties, VAT or other tax burden, the goods will be delivered to the delivery address specified in the Order directly from the PRC (from the supplier of the Seller). The shipment of the goods shall be carried out in the way selected by the Buyer in the Order, or which was agreed on otherwise with the Seller.
4.2. When entering the country of destination - the country of delivery, the goods may be burdened (according to the regulations of the country of delivery) with customs duties, VAT or other tax burden, which are not included in the Final Price. The Buyer is obliged to pay for these extra costs (i.e. customs duties, VAT or other tax obligation) when the goods enter the country of delivery. In the event of failing to provide assistance with the entry of the goods into the country of destination or not paying the customs duties, VAT or other tax obligation at the entry of the goods into the country of destination according to the regulations of that country, the Buyer is obliged to pay to the Seller a compensation for the associated costs.
4.3. In the event that the method of transportation was negotiated on the basis of the Buyerās specific request, the Buyer bears the risk and shall pay any potential additional costs associated with this method of transportation.
4.4. In the event that the goods had to be delivered repeatedly or in a different manner than specified in the Order due to reasons on the part of the Buyer, the Buyer is obliged to pay any expenses associated with the repeated delivery of the goods, or expenses associated with a different method of delivery.
4.5. At the moment of entry of the goods into the country of destination, the Buyer shall be contacted on the phone number provided to the Seller in the Order in order to provide assistance within the meaning of Paragraph 4.2.
4.6. When taking over the goods, the Buyer is obliged to inspect the integrity of the packaging of the goods, and to notify the carrier instantly in the case of any defects. In the event of identifying a damage of packaging indicative of unauthorized intrusion into the package, the Buyer is not obliged to take over the shipment.
4.7. The Seller undertakes to send the goods to the Buyer in the shortest possible time after receiving the Final Price from the Buyer. The delivery time, if stated with the goods, is of purely informative character and is not binding for the Seller.
4.8. The Seller shall not be responsible for the damage or loss caused by the delayed shipment or delivery of goods cause by any reason.
4.9. Other rights and obligations of the contracting parties regarding the transport of the goods may be regulated by special delivery terms of the Seller if they have been issued by the Seller.
5. WITHDRAWAL FROM THE PURCHASE AGREEMENT
5.1. The Buyer acknowledges that pursuant to § 1837 of the Civil Code, it is not allowed to withdraw from a purchase agreement on the delivery of goods which had been adjusted according to the wishes of the Buyer, from the purchase agreement for the supply of goods subject to rapid deterioration, as well as goods that were irretrievably mixed with other goods after delivery, from the purchase agreement for the supply of sealed goods which the consumer removed from their packaging and for hygienic reasons they cannot be returned and from the purchase agreement for the supply of audio or video recordings or computer program, if their original packing has been damaged.
5.2. Unless it is a case where Paragraph 5.1 applies or another case when withdrawing from the Purchase Agreement is prohibited, the Buyer is in accordance with § 1829 par. 1 of the Civil Code entitled to withdraw from the Purchase Agreement within fourteen (14) days upon taking over the goods, while if the subject of the Purchase Agreement consists of several types of goods or a delivery of several parts, such a period shall commence on the date of taking over the last delivery of the goods. The withdrawal from the Purchase Agreement has to be sent to the Seller within the period specified in the previous sentence. To withdraw from the Purchase Agreement, the Buyer may also use a sample form provided by the Seller, which forms an annex to the Terms and Conditions. The Buyer may send the withdrawal from the Purchase Agreement in paper form or to the Seller's e-mail address (tereza@ottodiy.com).
5.3. In case of withdrawal from the Purchase Agreement under the Art. 5.2 of the Terms and Conditions, the Purchase Agreement is cancelled since the beginning. The Buyer has to return the goods to the Seller within fourteen (14) days upon the withdrawal from the Purchase Agreement. If the Buyer withdraws from the Purchase Agreement, the expenses for the return of the goods to the Seller shall be borne by the Buyer, which also applies to cases when the goods cannot be returned via regular post due to their nature. The costs associated with the return of the goods to the Seller (sending them to the registered address of the Seller) may include VAT and customs duties, if the goods are dispatched from a country which is not a member of the EU or of the European Economic Area.
5.4. In order to eliminate doubts, the Seller explicitly declares that the Buyer is obliged to send legal action including withdrawal from the Purchase Agreement as well as the returned goods to the registered address/to the e-mail address of the Seller.
5.5. In case of withdrawal from the Purchase Agreement the Seller returns the funds received from the Buyer within fourteen (14) days since the withdrawal from the contract by the Buyer, in the same way as the Seller received them from the Buyer. If the Buyer withdraws from the Purchase Agreement, the Seller is not obliged to return the received financial means to the Buyer until the Buyer returns the goods to the Seller or proves that the goods were sent to the Seller.
5.6. The Seller is entitled to unilaterally off-set the claim to the compensation for the damage on the goods against the Buyer's claim for refund of the purchase price.
5.7. In the cases where the Buyer is entitled to withdraw from the Purchase Agreement under the § 1829 section 1 of the Civil Code, the Seller is also entitled to withdraw from the Purchase Agreement at any time, until the moment when the Buyer takes over the goods. The provisions of paragraph 5.5 shall be used likewise.
5.8. If the Buyer is provided with a gift accompanying the goods, the deed of gift between the Seller and the Buyer is concluded with a subsequent condition that if the Buyer withdraws from the Purchase Agreement, then the deed of gift regarding such gift expires and the Buyer is obliged to return the provided gift to the Seller together with the goods.
6. RIGHTS ARISING FROM DEFECTIVE PERFORMANCE
6.1. The rights and obligations of the contracting parties regarding the rights from defective performance are governed by the relevant legislation (in particular the provisions of § 1914 to 1925, § 2099 to 2117 and § 2161 to 2174 of the Civil Code and the Act no. 634/1992 Coll., On Consumer Protection, amended).
6.2. The Seller is liable to the Buyer for no defects on the goods on the delivery. In particular, the Seller is liable to the Buyer purchaser that when the Buyer receives the goods:
6.2.1. the goods display characteristics which the contracting parties have agreed upon, and if there is no such arrangement, the goods display such characteristics which the Seller or manufacturer had described or which the Buyer was entitled to expect given the nature of the goods and on the basis of the manner in which the Seller or the manufacturer had advertised the goods,
6.2.2. the goods are suitable for the purpose which had been specified by the Seller for the given goods or for the purpose for which the given type of goods is usually used,
6.2.3. the goods correspond by the quality and execution to the negotiated sample or model, provided that the quality or execution were specified on the basis of a sample or model,
6.2.4. the goods are in a corresponding amount, size or weight, and
6.2.5. the goods comply with the legal requirements.
6.3. The provisions of Art. 6.2 of these Terms and Conditions shall not apply to Goods sold at a lower price for a defect for which the lower price had been negotiated, to the wear and tear suffered by the goods due to their usual usage, and in the case of the goods that had already been used, to a defect which corresponds to the degree of use or wear and tear which had been present at the moment when the Buyer took over the goods, or if it results from the nature of the goods.
6.4. The Buyer is entitled to exercise the right from defective performance if the defect manifests itself in the course of 24 months after the takeover. If the defect manifests itself within six months after the takeover, it is presumed that the goods were defected already at the moment of the takeover.
6.5. The Buyer is obliged to report the defect of the goods without undue delay after detecting the defect or after he or she was able to detect the defect.
6.6. Apart from the obligation to notify the Seller about the defect, the Buyer is also obliged to select the respective claim from defective performance. The Buyer is obliged to notify the Seller about the selected claim from defective performance together with notifying the Buyer about the defect or without undue delay after reporting the defect.
6.7. The Buyer is entitled to the claims from defective performance depending on whether the defective performance is a fundamental breach of the Purchase Agreement or a non-fundamental breach of the Purchase Agreement. If the defective goods are a fundamental breach of the Purchase Agreement, the Buyer is entitled to claim removing of the defect according to his or her choice either by delivering a new defect-free product, supplying a missing product, removal of the defect by repairing the product, a reasonable reduction of the purchase price or by withdrawing from the Purchase Agreement. If the Seller fails to remove the defects within a reasonable time limit or if he notifies the Buyer that he will not remove the defects, the Buyer may, instead of having the defects removed, request a reasonable reduction of the Purchase Price or withdraw from the contract. If a defective performance constitutes a non-fundamental breach of contract, the Buyer has the right to have the defects removed, or to a reasonable reduction of the purchase price. The Buyer is entitled only to these rights also in the case of not selecting his or her right (after being informed by the Seller) according to § 2106 of the Civil Code (in case of a fundamental breach of the contract) in time.
6.8. If the goods lack the stipulated properties, the Buyer may also require the supply of a new product without defects, unless it is disproportionate to the nature of the defect; but where the defect only concerns a component part of the product, the Buyer may only request a replacement of that component part; if it is impossible, he or she may withdraw from the contract. If, however, it is disproportionate to the nature of the defect, in particular where the defect can be removed without undue delay, the Buyer has the right to have the defect removed gratuitously. Even where a defect is removable, the Buyer is entitled to have a new product supplied or a component part replaced if he cannot use the product properly due to the repeated occurrence of the defect after a repair or due to a larger number of defects. In this case, the Buyer shall also have the right to withdraw from the contract. If the Buyer does not withdraw from the contract or exercise his or her right to have a new defect-free product supplied, its component part replaced or the product repaired, he or she may require a reasonable price reduction. The Buyer also has the right to a reasonable price reduction where the Seller cannot supply to him a new defect-free product, replace a component part of the product or repair it, as well as where the Seller fails to provide for a remedy within a reasonable time or where such a remedy would cause substantial difficulties to the Buyer.
6.9. The Buyer shall not have the right arising from defective performance if, before the takeover of the goods, he or she had been aware that the thing had a defect, or if the defect was caused by the Buyer himself.
6.10. The warranty claim shall be processed no later than within 30 days after the day of asserting the claim. Where the goods need to be delivered to the Seller in order for the claim to be processed, the time limit is counted from the day of the delivery of the goods to the Seller.
6.11. The defect shall be reported and the rights arising from defected performance shall be exercised by the Buyer on the Sellerās electronical address tereza@ottodiy.com. The Buyer may contact the Seller on this e-mail address also in the case where he or she does not know what right from defect he or she should (may) exercise or how to make a warranty claim - the parties shall agree how to proceed via this e-mail address.
7. OTHER RIGHTS AND OBLIGATIONS OF THE CONTRACTING PARTIES
7.1. The Buyer acquires ownership of the goods by paying the entire Purchase Price.
7.2. In relation to the Buyer, the Seller is not bound by any codes of conduct within the meaning of the provisions of § 1826 par. 1 letter e) of the Civil Code.
7.3. Settlements of consumer complaints shall be handled via electronic address tereza@ottodiy.com. The information of the settlement of the Buyerās complaint shall be sent by the Seller to the Buyer's email address.
7.4. The out-of-court settlement of consumer disputes arising from the Purchase Agreement is handled by the Czech Trade Inspection, headquartered at Å tÄpĆ”nskĆ” 567/15, 120 00 Praha 2, IÄ: 000 20 869, Internet address: http://www.coi.cz. On-line platform for settling disputes at http://ec.europa.eu/consumers/odr can be used to settle disputes concerning the Purchase Agreement between the Seller and the Buyer.
7.5. European Consumer Center in the Czech Republic, headquartered at Å tÄpĆ”nskĆ” 567/15, 120 00 Praha 2, Internet address: http://www.evropskyspotrebitel.cz is the contact place according to the Regulation of the European Parliament and of the Council (EU) no. 524/2013 from 21 May 2013 about on-line settlement of consumer disputes and change of regulation (ES) no. 2006/2004 and directive 2009/22/ES (regulation for online settlement of consumer disputes).
7.6. The Seller is entitled to sell goods on the basis of a trade license. The supervision in the matters of trade licenses is carried out by the relevant Trade Licensing Office. The supervision in the matters of personal data protection is carried out by the Personal Data Protection Office. The supervision in the relevant matters of compliance with Act No. 634/1992 Coll., on consumer protection, as amended, is carried out by the Czech Trade Inspection.
7.7. The Buyer hereby assumes the risk of changes in circumstances within the meaning of § 1765 par. 2 of the Civil Code.
8. PERSONAL DATA PROTECTION
8.1. The personal data protection is covered in a separate document called Data Protection Policy published on the website of the Seller.
9. SENDING COMMERCIAL MESSAGES AND STORING COOKIES
9.1. The Seller shall not send any commercial messages to the Buyer.
9.2. The Buyer agrees with storing so called 'Cookies' on their computer. In the event that a purchase on the website can be made, and commitments agreed in the Purchase Agreement can be fulfilled without storage of 'Cookies' on the computer of the Buyer, the Buyer may withdraw their consent under the previous sentence at any time.
10. DELIVERY
10.1. Unless agreed otherwise in the Purchase Agreement, all correspondence among the Buyer and the Seller, especially related to the withdrawal from the Purchase Agreement must be delivered to the other party in paper form or in electronical form via the e-mail address. The correspondence is considered to be delivered and effective from the moment of their delivery, with the exception of the withdrawal from the Purchase Agreement by the Buyer, which is considered to be effective if sent by the Seller in the designated time period.
10.2. The Parties may send mutual regular correspondence in paper form or via e-mail, at the e-mail address specified by the Buyer in the Order and the address stated on the website of the Seller.
11. FINAL PROVISIONS
11.1. If the relationship established by the Purchase Agreement includes an international (foreign) element, then the parties agree that the relationship shall be governed by Czech law. This arrangement does not affect any rights of a consumer arising from generally binding legislation.
11.2. The matters which are not specified in the Purchase Agreement or in these Terms and Conditions abide by the Act No. 89/2012 Coll., Civil Code of the Czech Republic as amended. The translation of this law (the Civil Code) can be found for example on the website: http://obcanskyzakonik.justice.cz/images/pdf/Civil-Code.pdf. In case of divergence between the Czech and English language versions, the Czech version shall prevail.
11.3. The Seller and the Buyer conclude a prorogation agreement (an agreement about the choice of jurisdiction) and they select the Czech court as the competent court (of international jurisdiction).
11.4. Should any provision of these Terms and Conditions be or become invalid or ineffective, a provision, whose meaning is the closest to the invalid or ineffective provision, shall replace it. Invalidity or ineffectiveness of a single provision shall not affect the validity or effectiveness of the rest of provisions. Any changes or amendments of the Purchase Agreement or the Terms and Conditions shall be carried out in writing.
11.5. Changes and amendments to the Purchase Agreement or Terms and Conditions require a written form.
11.6. The Purchase Agreement, including the Terms and Conditions, is archived by the Seller in electronic form and it is not accessible either publically or to the Buyer.
11.7. The sample form for the withdrawal from the Purchase Agreement in regard to the right to withdraw from the Purchase Agreement form in 14 days annexes to these Terms and Conditions.

1. ĆVODNĆ USTANOVENĆ
1.1. Internetový obchod je prodĆ”vajĆcĆm provozovĆ”n na webovĆ© strĆ”nce umĆstÄnĆ© na internetovĆ© adrese https://ottodiy.ecwid.com/ (dĆ”le jen āwebovĆ” strĆ”nkaā), a to prostÅednictvĆm rozhranĆ webovĆ© strĆ”nky (dĆ”le jen āwebovĆ© rozhranĆ obchoduā).
1.2. ObchodnĆ podmĆnky se nevztahujĆ na pÅĆpady, kdy osoba, kterĆ” mĆ” v Ćŗmyslu nakoupit zbožà od prodĆ”vajĆcĆho, je prĆ”vnickou osobou Äi osobou, jež jednĆ” pÅi objednĆ”vĆ”nĆ zbožà v rĆ”mci svĆ© podnikatelskĆ© Äinnosti nebo v rĆ”mci svĆ©ho samostatnĆ©ho výkonu povolĆ”nĆ.
1.3. UstanovenĆ odchylnĆ” od obchodnĆch podmĆnek je možnĆ© sjednat v kupnĆ smlouvÄ, kterĆ” je uzavĆrĆ”na formou komunikace na dĆ”lku (formou objednĆ”vky a jejĆho potvrzenĆ) v anglickĆ©m jazyce. OdchylnĆ” ujednĆ”nĆ v kupnĆ smlouvÄ majĆ pÅednost pÅed ustanovenĆmi obchodnĆch podmĆnek.
1.4. UstanovenĆ obchodnĆch podmĆnek jsou nedĆlnou souÄĆ”stĆ kupnĆ smlouvy. Internetový obchod na webovĆ© strĆ”nce je veden v anglickĆ©m jazyce. Tyto obchodnĆ podmĆnky jsou vypracovĆ”ny a na webovĆ© strĆ”nce dostupnĆ© jak v anglickĆ©m, tak ÄeskĆ©m jazyce, pÅiÄemž v pÅĆpadÄ rozdĆlnosti jazykových verzĆ mĆ” pÅednost ÄeskĆ” verze.
1.5. ZnÄnĆ obchodnĆch podmĆnek může prodĆ”vajĆcĆ mÄnit Äi doplÅovat. TĆmto ustanovenĆm nejsou dotÄena prĆ”va a povinnosti vzniklĆ” po dobu ĆŗÄinnosti pÅedchozĆho znÄnĆ obchodnĆch podmĆnek.
2. UZAVÅENĆ KUPNĆ SMLOUVY
2.1. VeÅ”kerĆ” prezentace zbožà umĆstÄnĆ” ve webovĆ©m rozhranĆ obchodu je informativnĆho charakteru a prodĆ”vajĆcĆ nenĆ povinen uzavÅĆt kupnĆ smlouvu ohlednÄ tohoto zbožĆ. Ustanovenà § 1732 odst. 2 obÄanskĆ©ho zĆ”konĆku se nepoužije.
2.2. WebovĆ© rozhranĆ obchodu obsahuje informace o zbožĆ, a to vÄetnÄ uvedenĆ kupnĆ ceny konkrĆ©tnĆho zbožà a nĆ”kladÅÆ spojených s balenĆm a pÅepravou zbožà (nĆ”klady spojenĆ© s balenĆm a pÅepravou zbožà se odvĆjĆ od vĆ”hy zbožĆ, doruÄovacĆ adresy kupujĆcĆho a typu zvolenĆ© pÅepravy). V koneÄnĆ© cenÄ, kterĆ” je kupujĆcĆmu vygenerovĆ”na na webovĆ© strĆ”nce po uloženĆ vybranĆ©ho zbožà do koÅ”Ćku a zvolenĆ požadovanĆ© dopravynenĆ zahrnuto clo, DPH, pÅĆpadnÄ jinĆ© daÅovĆ© zatĆženĆ dle prĆ”vnĆch pÅedpisÅÆ zemÄ doruÄenĆ, kterĆ© je tÅeba uhradit v souvislosti s dovozem zbožà do zemÄ doruÄenĆ, a kterĆ© je kupujĆcĆ povinen nĆ©st nad rĆ”mec koneÄnĆ© ceny (koneÄnĆ” cena ve smyslu tohoto ustanovenĆ dĆ”le takĆ© jen: āKoneÄnĆ” cenaā).
2.3. KupnĆ cena zbožà zÅÆstĆ”vĆ” v platnosti po dobu, kdy je zobrazovĆ”na ve webovĆ©m rozhranĆ obchodu. TĆmto ustanovenĆm nenĆ omezena možnost prodĆ”vajĆcĆho uzavÅĆt kupnĆ smlouvu za individuĆ”lnÄ sjednaných podmĆnek.
2.4. Pro objednĆ”nĆ zbožà vyplnĆ kupujĆcĆ objednĆ”vku (nĆ”vrh na uzavÅenĆ smlouvy - nabĆdku) ve formÄ formulĆ”Åe pÅĆstupnĆ©ho ve webovĆ©m rozhranĆ obchodu. ObjednĆ”vkový formulÔŠobsahuje nĆ”sledujĆcĆ informace:
2.4.1. specifikace pÅedmÄtu kupnĆ smlouvy - objednĆ”vanĆ©ho zbožà (objednĆ”vanĆ© zbožà āvložĆā kupujĆcĆ do elektronickĆ©ho nĆ”kupnĆho koÅ”Ćku webovĆ©ho rozhranĆ obchodu),
2.4.2. celĆ© jmĆ©no kupujĆcĆho (jmĆ©no a pÅĆjmenĆ, pÅĆpadnÄ titul),
2.4.3. e-mailovĆ” adresa kupujĆcĆho (nezbytnĆ© pro zaslĆ”nĆ potvrzenĆ objednĆ”vky a pÅĆpadnou nĆ”slednou komunikaci smluvnĆch stran), tato dĆ”le takĆ© jen: āelektronickĆ” adresa kupujĆcĆhoā,
2.4.4. telefonnĆ ÄĆslo kupujĆcĆho (nezbytnĆ© pÅi doruÄovĆ”nĆ zbožà a kontaktu na celnici pÅi vstupu zbožà do zemÄ urÄenĆ ā zemÄ doruÄenĆ),
2.4.5. doruÄovacĆ adresa (ulice a ÄĆslo popisnĆ©, PSÄ, mÄsto a stĆ”t - tj. zemÄ urÄenĆ/zemÄ doruÄenĆ),
2.4.6. zpÅÆsob Ćŗhrady kupnĆ ceny zbožĆ, kterĆ” je možnĆ” pouze bezhotovostnÄ platebnĆ brĆ”nou,
2.4.7. Ćŗdaje o požadovanĆ©m zpÅÆsobu doruÄenĆ objednĆ”vanĆ©ho zbožĆ,
2.4.8. informace o nĆ”kladech spojených s dodĆ”nĆm zbožĆ,
2.4.9. poznĆ”mka kupujĆcĆho (fakultativnĆ),
(dĆ”le spoleÄnÄ jen jako āobjednĆ”vkaā).
2.5. Na platebnĆ brĆ”nu, prostÅednictvĆm kterĆ© je tÅeba uhradit KoneÄnou cenu,je kupujĆcĆ pÅesmÄrovĆ”n pÅed odeslĆ”nĆm objednĆ”vky.
2.6. ObjednĆ”vku může kupujĆcĆ prodĆ”vajĆcĆmu odeslat (tj. webovĆ” strĆ”nka jejĆ odeslĆ”nĆ umožnĆ) až pÅi kumulativnĆm splnÄnĆ nĆ”sledujĆcĆch podmĆnek:
2.6.1. po vyplnÄnĆ veÅ”kerých polĆÄek v objednĆ”vkovĆ©m formulĆ”Åi, s výjimkou polĆÄka na poznĆ”mku, jehož vyplnÄnĆ je fakultativnĆ
2.6.2. po odeslĆ”nĆ KoneÄnĆ© ceny pÅes platebnĆ brĆ”nu.
2.7. KupujĆcĆ je odpovÄdný za sprĆ”vnost a Ćŗplnost poskytnutých ĆŗdajÅÆ; kupujĆcĆm poskytnutĆ© Ćŗdaje prodĆ”vajĆcĆ nijak neovÄÅuje a považuje je za sprĆ”vnĆ©. V pÅĆpadÄ chybnĆ©ho zadĆ”nĆ ĆŗdajÅÆ v objednĆ”vkovĆ©m formulĆ”Åi nebo zmÄny ĆŗdajÅÆ po vyplnÄnĆ objednĆ”vkovĆ©ho formulĆ”Åe pÅed doruÄenĆm zbožà je kupujĆcĆ povinen bezodkladnÄ informovat prodĆ”vajĆcĆho.
2.8. WebovĆ© rozhranĆ obchodu umožÅuje, aby kupujĆcĆ provĆ”dÄl objednĆ”vĆ”nĆ zbožà bez registrace pÅĆmo z webovĆ©ho rozhranĆ obchodu.
2.9. PÅed odeslĆ”nĆm objednĆ”vky prodĆ”vajĆcĆmu je kupujĆcĆmu umožnÄno kontrolovat a mÄnit Ćŗdaje, kterĆ© do objednĆ”vky kupujĆcĆ vložil, a to i s ohledem na možnost kupujĆcĆho zjiŔńovat a opravovat chyby vzniklĆ© pÅi zadĆ”vĆ”nĆ dat do objednĆ”vky.
2.10. ObjednĆ”vku odeÅ”le kupujĆcĆ prodĆ”vajĆcĆmu kliknutĆm na tlaÄĆtko āPlace Orderā.
2.11. NeprodlenÄ po obdrženĆ objednĆ”vky je jejĆ obdrženĆ prodĆ”vajĆcĆm automaticky potvrzeno elektronickou poÅ”tou, a to na adresu elektronickĆ© poÅ”ty kupujĆcĆho. Okamžikem, kdy je kupujĆcĆmu doruÄen potvrzujĆcĆ e-mail ze strany prodĆ”vajĆcĆho (tj. okamžikem potvrzenĆ objednĆ”vky ze strany prodĆ”vajĆcĆho) je uzavÅena kupnĆ smlouva, jejĆž obsah je urÄen objednĆ”vkou a tÄmito vÅ”eobecnými obchodnĆmi podmĆnkami.
2.12. Uvede-li kupujĆcĆ do kolonky poznĆ”mka v objednĆ”vkovĆ©m formulĆ”Åi svÅÆj požadavek na zmÄnu obsahu kupnĆ smlouvy (odchylku od tÄchto obchodnĆch podmĆnek nebo pÅednastavenĆ©ho textu objednĆ”vkovĆ©ho formulĆ”Åe - napÅ. požadavek na jiný zpÅÆsob dopravy, apod.), je kupnĆ smlouva uzavÅena nikoli již automatickým potvrzujĆcĆm e-mailem ve smyslu pÅedchozĆho odstavce (Äl. 2.11), ale až v okamžiku, kdy prodĆ”vajĆcĆ odpovĆ na poznĆ”mku kupujĆcĆho tak, že jeho požadavek (odchylku od tÄchto obchodnĆch podmĆnek nebo standardnĆ formulĆ”ÅovĆ© objednĆ”vky) výslovnÄ potvrdĆ. NepotvrdĆ-li prodĆ”vajĆcĆ požadavek kupujĆcĆho (napÅĆklad proto, že poznĆ”mka byla formulovĆ”na jako otĆ”zka, na kterou prodĆ”vajĆcĆ teprve odpovĆdĆ”), je kupnĆ smlouva uzavÅena až okamžikem, kdy z komunikace mezi smluvnĆmi stranami vyplyne, že se na nĆ”ležitostech kupnĆ smlouvy (vÄ. tĆ©to spornĆ© zĆ”ležitosti ÅeÅ”enĆ© formou poznĆ”mky) dohodli. Nedohodnou-li se smluvnĆ strany na obsahu kupnĆ smlouvy v pÅimÄÅenĆ© lhÅÆtÄ po odeslĆ”nĆ objednĆ”vky ze strany kupujĆcĆho, platĆ, že kupnĆ smlouva nebyla uzavÅena a prodĆ”vajĆcĆ je povinen pÅijatĆ© penÄžnĆ prostÅedky odpovĆdajĆcĆ KoneÄnĆ© kupnĆ cenÄ (kterĆ© byly kupujĆcĆm odeslĆ”ny prostÅednictvĆm platebnĆ brĆ”ny pÅed odeslĆ”nĆm objednĆ”vky) vrĆ”tit zpÄt kupujĆcĆmu; k realizaci zpÄtnĆ©ho pÅevodu penÄžnĆch prostÅedkÅÆ je kupujĆcĆ povinen poskytnout prodĆ”vajĆcĆmu potÅebnou souÄinnost.
2.13. NĆ”klady vzniklĆ© kupujĆcĆmu pÅi použitĆ komunikaÄnĆch prostÅedkÅÆ na dĆ”lku v souvislosti s uzavÅenĆm kupnĆ smlouvy (nĆ”klady na internetovĆ© pÅipojenĆ, nĆ”klady na telefonnĆ hovory) si hradĆ kupujĆcĆ sĆ”m, pÅiÄemž tyto nĆ”klady se neliŔà od zĆ”kladnĆ sazby.
3. CENA ZBOŽà A PLATEBNĆ PODMĆNKY
3.1. KoneÄnou cenu zbožà (tj. kupnĆ cenu a nĆ”klady spojenĆ© s balenĆm a dodĆ”nĆm zbožĆ) může kupujĆcĆ uhradit prodĆ”vajĆcĆmu pouze bezhotovostnÄ prostÅednictvĆm platebnĆho systĆ©mu Mollie (platebnĆ brĆ”ny).
3.2. ProdĆ”vajĆcĆ požaduje odeslĆ”nĆ celĆ© KoneÄnĆ© kupnĆ ceny pÅed odeslĆ”nĆm objednĆ”vky a jejĆ uhrazenĆ (tj. pÅipsĆ”nĆ na bankovnĆ ĆŗÄet prodĆ”vajĆcĆho) jeÅ”tÄ pÅed odeslĆ”nĆm zbožà kupujĆcĆmu. Ustanovenà § 2119 odst. 1 obÄanskĆ©ho zĆ”konĆku se nepoužije.
3.3. PÅĆpadnĆ© slevy z ceny zbožà poskytnutĆ© prodĆ”vajĆcĆm kupujĆcĆmu nelze vzĆ”jemnÄ kombinovat.
3.4. Je-li to v obchodnĆm styku obvyklĆ© nebo je-li tak stanoveno obecnÄ zĆ”vaznými prĆ”vnĆmi pÅedpisy, vystavĆ prodĆ”vajĆcĆ ohlednÄ plateb provĆ”dÄných na zĆ”kladÄ kupnĆ smlouvy kupujĆcĆmu fakturu. ProdĆ”vajĆcĆ nenĆ plĆ”tcem danÄ z pÅidanĆ© hodnoty. Fakturu vystavĆ prodĆ”vajĆcĆ kupujĆcĆmu po uhrazenĆ ceny zbožà a zaÅ”le jej v elektronickĆ© podobÄ na elektronickou adresu kupujĆcĆho.
3.5. VrĆ”cenĆ KoneÄnĆ© kupnĆ ceny pÅi neuzavÅenĆ kupnĆ smlouvy - viz Äl. 2.12 tÄchto obchodnĆch podmĆnek.
3.6. VrĆ”cenĆ KoneÄnĆ© kupnĆ ceny pÅi odstoupenĆ od smlouvy - viz Äl. V. tÄchto obchodnĆch podmĆnek.
4. PÅEPRAVA A DODĆNĆ ZBOŽĆ
4.1. ProdĆ”vajĆcĆ je prĆ”vnickou osobou ÄeskĆ©ho prĆ”va založenou v ÄeskĆ© republice, kterĆ” je Älenským stĆ”tem EvropskĆ© unie. SĆdlo prodĆ”vajĆcĆho je v ÄeskĆ© republice. Vzhledem k tomu, že zbožà je pro prodĆ”vajĆcĆho vyrĆ”bÄno v ÄĆnskĆ© lidovĆ© republice, bere kupujĆcĆ na vÄdomĆ, že s cĆlem dosĆ”hnout pokud možno co nejnižŔĆho zatĆženĆ kupujĆcĆho nĆ”klady na dopravu, clem, DPH Äi jinou daÅovou povinnostĆ, zbožà mu bude na v objednĆ”vce specifikovanou dodacĆ adresu doruÄeno pÅĆmo z ÄĆnskĆ© lidovĆ© republiky (od dodavatele prodĆ”vajĆcĆho). DoruÄenĆ zbožà probÄhne zpÅÆsobem, který si kupujĆcĆ v objednĆ”vce zvolil, nebo kterĆ© bylo jinak dohodnuto s prodĆ”vajĆcĆm.
4.2. PÅi vstupu zbožà do zemÄ urÄenĆ - zemÄ doruÄenĆ může být zbožà zatĆženo (dle vlastnĆch pÅedpisÅÆ zemÄ doruÄenĆ) clem, DPH Äi jinou daÅovou povinnostĆ, kterĆ© nejsou zahrnuty v KoneÄnĆ© cenÄ. KupujĆcĆ se zavazuje tyto dalŔà nĆ”klady (tj. clo, DPH Äi jinou daÅovou povinnost) uhradit pÅi vstupu zbožà do zemÄ urÄenĆ. V pÅĆpadÄ neposkytnutĆ souÄinnosti se vstupem zbožà do zemÄ urÄenĆ nebo neuhrazenĆ cla, DPH nebo jinĆ© daÅovĆ© povinnosti pÅi vstupu zbožà do zemÄ urÄenĆ dle vlastnĆch pÅedpisÅÆ tĆ©to zemÄ se kupujĆcĆ zavazuje uhradit prodĆ”vajĆcĆmu Å”kodu tĆm vzniklou.
4.3. V pÅĆpadÄ, že je zpÅÆsob dopravy smluven na zĆ”kladÄ zvlÔŔtnĆho požadavku kupujĆcĆho, nese kupujĆcĆ riziko a pÅĆpadnĆ© dodateÄnĆ© nĆ”klady spojenĆ© s tĆmto zpÅÆsobem dopravy.
4.4. V pÅĆpadÄ, že je z dÅÆvodÅÆ na stranÄ kupujĆcĆho nutno zbožà doruÄovat opakovanÄ nebo jiným zpÅÆsobem, než bylo uvedeno v objednĆ”vce, je kupujĆcĆ povinen uhradit nĆ”klady spojenĆ© s opakovaným doruÄovĆ”nĆm zbožĆ, resp. nĆ”klady spojenĆ© s jiným zpÅÆsobem doruÄenĆ.
4.5. PÅi vstupu zbožà do zemÄ urÄenĆ bude kupujĆcĆ kontaktovĆ”n na telefonnĆm ÄĆsle, kterĆ© sdÄlil prodĆ”vajĆcĆmu v objednĆ”vce, k poskytnutĆ souÄinnosti ve smyslu Äl. 4.2.
4.6. PÅi pÅevzetĆ zbožà je kupujĆcĆ povinen zkontrolovat neporuÅ”enost obalÅÆ zbožà a v pÅĆpadÄ jakýchkoliv zĆ”vad toto neprodlenÄ oznĆ”mit pÅepravci. V pÅĆpadÄ shledĆ”nĆ poruÅ”enĆ obalu svÄdÄĆcĆho o neoprĆ”vnÄnĆ©m vniknutĆ do zĆ”silky nemusĆ kupujĆcĆ zĆ”silku od pÅepravce pÅevzĆt.
4.7. ProdĆ”vajĆcĆ se zavazuje zajistit odeslĆ”nĆ zbožà kupujĆcĆmu po uhrazenĆ KoneÄnĆ© ceny ze strany kupujĆcĆho v nejbližŔĆm možnĆ©m termĆnu. DodacĆ lhÅÆta, pokud je u zbožà uvedena, mĆ” pouze informativnĆ charakter a nenĆ pro prodĆ”vajĆcĆho zĆ”vaznĆ”.
4.8. ProdĆ”vajĆcĆ nenese odpovÄdnost za Å”kody zpÅÆsobenĆ© zpoždÄnĆm odeslĆ”nĆ nebo doruÄenĆ zbožà z jakĆ©hokoli dÅÆvodu.
4.9. DalŔà prĆ”va a povinnosti stran pÅi pÅepravÄ zbožà mohou upravit zvlÔŔtnĆ dodacĆ podmĆnky prodĆ”vajĆcĆho, jsou-li prodĆ”vajĆcĆm vydĆ”ny.
5. ODSTOUPENĆ OD KUPNĆ SMLOUVY
5.1. KupujĆcĆ bere na vÄdomĆ, že dle ustanovenà § 1837 obÄanskĆ©ho zĆ”konĆku, nelze mimo jinĆ© odstoupit od kupnĆ smlouvy o dodĆ”vce zbožĆ, kterĆ© bylo upraveno podle pÅĆ”nĆ kupujĆcĆho nebo pro jeho osobu, od kupnĆ smlouvy o dodĆ”vce zbožĆ, kterĆ© podlĆ©hĆ” rychlĆ© zkĆ”ze, jakož i zbožĆ, kterĆ© bylo po dodĆ”nĆ nenĆ”vratnÄ smĆseno s jiným zbožĆm, od kupnĆ smlouvy o dodĆ”vce zbožà v uzavÅenĆ©m obalu, kterĆ© spotÅebitel z obalu vyÅal a z hygienických dÅÆvodÅÆ jej nenĆ možnĆ© vrĆ”tit a od kupnĆ smlouvy o dodĆ”vce zvukovĆ© nebo obrazovĆ© nahrĆ”vky nebo poÄĆtaÄovĆ©ho programu, pokud poruÅ”il jejich pÅÆvodnĆ obal.
5.2. NejednĆ”-li se o pÅĆpad uvedený v Äl. 5.1 obchodnĆch podmĆnek Äi o jiný pÅĆpad, kdy nelze od kupnĆ smlouvy odstoupit, mĆ” kupujĆcĆ v souladu s ustanovenĆm § 1829 odst. 1 obÄanskĆ©ho zĆ”konĆku prĆ”vo od kupnĆ smlouvy odstoupit, a to do ÄtrnĆ”cti (14) dnÅÆ od pÅevzetĆ zbožĆ, pÅiÄemž v pÅĆpadÄ, že pÅedmÄtem kupnĆ smlouvy je nÄkolik druhÅÆ zbožà nebo dodĆ”nĆ nÄkolika ÄĆ”stĆ, bÄžà tato lhÅÆta ode dne pÅevzetĆ poslednĆ dodĆ”vky zbožĆ. OdstoupenĆ od kupnĆ smlouvy musĆ být prodĆ”vajĆcĆmu odeslĆ”no ve lhÅÆtÄ uvedenĆ© v pÅedchozĆ vÄtÄ. Pro odstoupenĆ od kupnĆ smlouvy může kupujĆcĆ využit vzorový formulÔŠposkytovaný prodĆ”vajĆcĆm, jenž tvoÅĆ pÅĆlohu obchodnĆch podmĆnek. OdstoupenĆ od kupnĆ smlouvy může kupujĆcĆ zaslat prodĆ”vajĆcĆmu v listinnĆ© podobÄ nebo na adresu elektronickĆ© poÅ”ty prodĆ”vajĆcĆho tereza@ottodiy.com.
5.3. V pÅĆpadÄ odstoupenĆ od kupnĆ smlouvy se kupnĆ smlouva od poÄĆ”tku ruÅ”Ć.Zbožà musĆ být kupujĆcĆm prodĆ”vajĆcĆmu navrĆ”ceno do ÄtrnĆ”cti (14) dnÅÆ od doruÄenĆ odstoupenĆ od kupnĆ smlouvy prodĆ”vajĆcĆmu. OdstoupĆ-li kupujĆcĆ od kupnĆ smlouvy, nese kupujĆcĆ nĆ”klady spojenĆ© s navrĆ”cenĆm zbožà prodĆ”vajĆcĆmu, a to i v tom pÅĆpadÄ, kdy zbožà nemůže být vrĆ”ceno pro svou povahu obvyklou poÅ”tovnĆ cestou. NĆ”klady spojenĆ© s navrĆ”cenĆm zbožà prodĆ”vajĆcĆmu (tj. jeho zaslĆ”nĆm do sĆdla prodĆ”vajĆcĆho) mohou zahrnovat DPH a clo, je-li zbožà zasĆlĆ”no ze zemÄ, kterĆ” nenĆ Älenským stĆ”tem EvropskĆ© Unie (EU), pÅĆpadnÄ EvropskĆ©ho hospodĆ”ÅskĆ©ho prostoru (EHP).
5.4. Pro vylouÄenĆ pochybnostĆ prodĆ”vajĆcĆ výslovnÄ deklaruje, že prĆ”vnĆ jednĆ”nĆ obsahujĆcĆ odstoupenĆ od smlouvy, stejnÄ jako vracenĆ© zbožĆ, je kupujĆcĆ povinen odeslat prodĆ”vajĆcĆmu na jeho adresu sĆdla/e-mailovou adresu.
5.5. V pÅĆpadÄ odstoupenĆ od kupnĆ smlouvy zaÅ”le prodĆ”vajĆcĆ kupujĆcĆmu penÄžnĆ prostÅedky, kterĆ© od kupujĆcĆho pÅijal, do ÄtrnĆ”cti (14) dnÅÆ od odstoupenĆ od kupnĆ smlouvy kupujĆcĆm, a to zpÅÆsobem, jakým je pÅijal. ProdĆ”vajĆcĆ nenĆ povinen vrĆ”tit pÅijatĆ© penÄžnĆ prostÅedky kupujĆcĆmu dÅĆve, než mu kupujĆcĆ zbožà vrĆ”tĆ nebo prokÔže, že zbožà prodĆ”vajĆcĆmu odeslal.
5.6. NĆ”rok na Ćŗhradu Å”kody vzniklĆ© na zbožà je prodĆ”vajĆcĆ oprĆ”vnÄn jednostrannÄ zapoÄĆst proti nĆ”roku kupujĆcĆho na vrĆ”cenĆ prostÅedkÅÆ, kterĆ© je povinen kupujĆcĆmu v souvislosti s odstoupenĆm od smlouvy vrĆ”tit.
5.7. V pÅĆpadech, kdy mĆ” kupujĆcĆ v souladu s ustanovenĆm § 1829 odst. 1 obÄanskĆ©ho zĆ”konĆku prĆ”vo od kupnĆ smlouvy odstoupit, je prodĆ”vajĆcĆ takĆ© oprĆ”vnÄn kdykoliv od kupnĆ smlouvy odstoupit, a to až do doby pÅevzetĆ zbožà kupujĆcĆm. UstanovenĆ Äl. 5.5 se užije obdobnÄ.
5.8. Je-li spoleÄnÄ se zbožĆm poskytnut kupujĆcĆmu dĆ”rek, je darovacĆ smlouva mezi prodĆ”vajĆcĆm a kupujĆcĆm uzavÅena s rozvazovacĆ podmĆnkou, že dojde-li k odstoupenĆ od kupnĆ smlouvy kupujĆcĆm, pozbývĆ” darovacĆ smlouva ohlednÄ takovĆ©ho dĆ”rku ĆŗÄinnosti a kupujĆcĆ je povinen spolu se zbožĆm prodĆ”vajĆcĆmu vrĆ”tit i poskytnutý dĆ”rek.
6. PRĆVA Z VADNĆHO PLNÄNĆ
6.1. PrĆ”va a povinnosti smluvnĆch stran ohlednÄ prĆ”v z vadnĆ©ho plnÄnĆ se ÅĆdĆ pÅĆsluÅ”nými obecnÄ zĆ”vaznými pÅedpisy (zejmĆ©na ustanovenĆmi § 1914 až 1925, § 2099 až 2117 a § 2161 až 2174 obÄanskĆ©ho zĆ”konĆku).
6.2. ProdĆ”vajĆcĆ odpovĆdĆ” kupujĆcĆmu, že zbožà pÅi pÅevzetĆ nemĆ” vady. ZejmĆ©na prodĆ”vajĆcĆ odpovĆdĆ” kupujĆcĆmu, že v dobÄ, kdy kupujĆcĆ zbožà pÅevzal:
6.2.1. mĆ” zbožà vlastnosti, kterĆ© si strany ujednaly, a chybĆ-li ujednĆ”nĆ, mĆ” takovĆ© vlastnosti, kterĆ© prodĆ”vajĆcĆ nebo výrobce popsal nebo kterĆ© kupujĆcĆ oÄekĆ”val s ohledem na povahu zbožà a na zĆ”kladÄ reklamy jimi provĆ”dÄnĆ©,
6.2.2. se zbožà hodĆ k ĆŗÄelu, který pro jeho použitĆ prodĆ”vajĆcĆ uvĆ”dĆ nebo ke kterĆ©mu se zbožà tohoto druhu obvykle použĆvĆ”,
6.2.3. zbožà odpovĆdĆ” jakostĆ nebo provedenĆm smluvenĆ©mu vzorku nebo pÅedloze, byla-li jakost nebo provedenĆ urÄeno podle smluvenĆ©ho vzorku nebo pÅedlohy,
6.2.4. je zbožà v odpovĆdajĆcĆm množstvĆ, mĆÅe nebo hmotnosti a
6.2.5. zbožà vyhovuje požadavkÅÆm prĆ”vnĆch pÅedpisÅÆ.
6.3. UstanovenĆ uvedenĆ” v Äl. 6.2 obchodnĆch podmĆnek se nepoužijĆ u zbožà prodĆ”vanĆ©ho za nižŔà cenu na vadu, pro kterou byla nižŔà cena ujednĆ”na, na opotÅebenĆ zbožà zpÅÆsobenĆ© jeho obvyklým užĆvĆ”nĆm, u použitĆ©ho zbožà na vadu odpovĆdajĆcĆ mĆÅe použĆvĆ”nĆ nebo opotÅebenĆ, kterou zbožà mÄlo pÅi pÅevzetĆ kupujĆcĆm, nebo vyplývĆ”-li to z povahy zbožĆ.
6.4. KupujĆcĆ je oprĆ”vnÄn uplatnit prĆ”vo z vady zbožĆ, kterĆ” se vyskytne v dobÄ do 24 mÄsĆcÅÆ od pÅevzetĆ zbožĆ. ProjevĆ-li se vada v prÅÆbÄhu Å”esti mÄsĆcÅÆ od pÅevzetĆ, mĆ” se za to, že zbožà bylo vadnĆ© již pÅi pÅevzetĆ.
6.5. KupujĆcĆ mĆ” povinnost oznĆ”mit, že zbožà mĆ” vadu, bez zbyteÄnĆ©ho odkladu potĆ©, co vadu zjistĆ nebo co vadu mohl zjistit.
6.6. Krom povinnosti oznĆ”mit vadu prodĆ”vajĆcĆmu mĆ” kupujĆcĆ rovnÄž povinnost zvolit pÅĆsluÅ”ný nĆ”rok z vady. OznĆ”mit volbu nĆ”roku z vady je kupujĆcĆ povinen spolu s oznĆ”menĆm, že vÄc je vadnĆ”, nebo bez zbyteÄnĆ©ho odkladu po oznĆ”menĆ vady.
6.7. KupujĆcĆ mĆ” nĆ”roky z vadnĆ©ho plnÄnĆ dle toho, zda je vadnĆ© plnÄnĆ podstatným poruÅ”enĆm kupnĆ smlouvy nebo nepodstatným poruÅ”enĆm kupnĆ smlouvy. Je-li vadnĆ© zbožà podstatným poruÅ”enĆm kupnĆ smlouvy, může kupujĆcĆ dle svĆ© volby požadovat odstranÄnĆ vady dodĆ”nĆm novĆ©ho zbožà bez vady, dodĆ”nĆm chybÄjĆcĆho zbožĆ, odstranÄnĆ vady opravou zbožĆ, pÅimÄÅenou slevu z kupnĆ ceny, nebo od kupnĆ smlouvy odstoupit. NeodstranĆ-li prodĆ”vajĆcĆ vady v pÅimÄÅenĆ© lhÅÆtÄ Äi oznĆ”mĆ-li kupujĆcĆmu, že vady neodstranĆ, může kupujĆcĆ požadovat mĆsto odstranÄnĆ vady pÅimÄÅenou slevu z kupnĆ ceny nebo může od smlouvy odstoupit.Je-li vadnĆ© zbožà nepodstatným poruÅ”enĆm smlouvy, pak mĆ” kupujĆcĆ prĆ”vo na odstranÄnĆ vady anebo na pÅimÄÅenou slevu z kupnĆ ceny. Pouze tato prĆ”va mĆ” kupujĆcĆ rovnÄž v pÅĆpadÄ, že si nezvolĆ svĆ© prĆ”vo (potĆ© co byl ÅĆ”dnÄ informovĆ”n prodĆ”vajĆcĆm) dle § 2106 obÄanskĆ©ho zĆ”konĆku (pÅi podstatnĆ©m poruÅ”enĆ smlouvy) vÄas.
6.8. NemĆ”-li zbožà vlastnosti vymĆnÄnĆ© kupujĆcĆm nebo vlastnosti ujednanĆ©, může kupujĆcĆ požadovat i dodĆ”nĆ novĆ©ho zbožà bez vad, to vÅ”ak jen tehdy, pokud to nenĆ vzhledem k povaze vady nepÅimÄÅenĆ©; pokud se ale vada týkĆ” pouze souÄĆ”sti vÄci (zbožĆ), může kupujĆcĆ požadovat jen výmÄnu souÄĆ”sti; nenĆ-li to možnĆ©, může odstoupit od smlouvy. Je-li to vÅ”ak vzhledem k povaze vady neĆŗmÄrnĆ©, zejmĆ©na lze-li vadu odstranit bez zbyteÄnĆ©ho odkladu, mĆ” kupujĆcĆ prĆ”vo na bezplatnĆ© odstranÄnĆ vady. PrĆ”vo na dodĆ”nĆ novĆ© vÄci, nebo výmÄnu souÄĆ”sti mĆ” kupujĆcĆ i v pÅĆpadÄ odstranitelnĆ© vady, pokud nemůže zbožà ÅĆ”dnÄ užĆvat pro opakovaný výskyt vady po opravÄ nebo pro vÄtŔà poÄet vad. V takovĆ©m pÅĆpadÄ mĆ” kupujĆcĆ i prĆ”vo od smlouvy odstoupit. NeodstoupĆ-li kupujĆcĆ od smlouvy nebo neuplatnĆ-li prĆ”vo na dodĆ”nĆ novĆ©ho zbožà bez vad, na výmÄnu jeho souÄĆ”sti nebo na opravu vÄci, může požadovat pÅimÄÅenou slevu. KupujĆcĆ mĆ” prĆ”vo na pÅimÄÅenou slevu i v pÅĆpadÄ, že mu prodĆ”vajĆcĆ nemůže dodat novĆ© zbožà bez vad, vymÄnit jeho souÄĆ”st nebo zbožà opravit, jakož i v pÅĆpadÄ, že prodĆ”vajĆcĆ nezjednĆ” nĆ”pravu v pÅimÄÅenĆ© dobÄ nebo že by zjednĆ”nĆ nĆ”pravy kupujĆcĆmu pÅÆsobilo znaÄnĆ© obtĆže.
6.9. PrĆ”vo z vadnĆ©ho plnÄnĆ kupujĆcĆmu nenĆ”ležĆ, pokud kupujĆcĆ pÅed pÅevzetĆm zbožà vÄdÄl o vadÄ anebo pokud vadu sĆ”m zpÅÆsobil.
6.10. Reklamace musĆ být vyÅĆzena nejpozdÄji do tÅiceti (30) dnÅÆ ode dne jejĆho uplatnÄnĆ. Je-li k vyÅĆzenĆ reklamace tÅeba doruÄit zbožà prodĆ”vajĆcĆmu, bÄžà lhÅÆta ode dne doruÄenĆ tohoto zbožĆ.
6.11. Vadu kupujĆcĆ oznamuje, stejnÄ jako svĆ” prĆ”va z vadnĆ©ho plnÄnĆ kupujĆcĆ uplatÅuje u prodĆ”vajĆcĆho na emailovĆ© adrese tereza@ottodiy.com.Na tĆ©to e-mailovĆ© adrese může kupujĆcĆ prodĆ”vajĆcĆho kontaktovat rovnÄž v pÅĆpadÄ, že nevĆ, jakĆ© prĆ”vo z vady mĆ” (může) uplatnit nebo jak pÅi reklamaci postupovat - prostÅednictvĆm tĆ©to e-mailovĆ© adresy pak bude sjednĆ”n dalŔà postup ve vÄci.

7.1. KupujĆcĆ nabývĆ” vlastnictvĆ ke zbožà úplným zaplacenĆm kupnĆ ceny zbožĆ.
7.2. ProdĆ”vajĆcĆ nenĆ ve vztahu ke kupujĆcĆmu vĆ”zĆ”n žÔdnými kodexy chovĆ”nĆ ve smyslu ustanovenà § 1826 odst. 1 pĆsm. e) obÄanskĆ©ho zĆ”konĆku.
7.3. VyÅizovĆ”nĆ stĆžnostĆ spotÅebitelÅÆ zajiŔńuje prodĆ”vajĆcĆ prostÅednictvĆm elektronickĆ© adresy tereza@ottodiy.com. Informaci o vyÅĆzenĆ stĆžnosti kupujĆcĆho zaÅ”le prodĆ”vajĆcĆ na elektronickou adresu kupujĆcĆho.

V pÅĆpadÄ, že je nĆ”kup na webovĆ© strĆ”nce možnĆ© provĆ©st a zĆ”vazky prodĆ”vajĆcĆhoz kupnĆ smlouvy plnit, aniž by dochĆ”zelo k uklĆ”dĆ”nĆ tzv. cookies na poÄĆtaÄ kupujĆcĆho, může kupujĆcĆ souhlas podle pÅedchozĆ vÄty kdykoliv odvolat.
10. DORUÄOVĆNĆ
10.1. OznĆ”menĆ týkajĆcĆ se vztahÅÆ prodĆ”vajĆcĆho a kupujĆcĆho,zejmĆ©na týkajĆcĆ odstoupenĆ od kupnĆ smlouvy, musĆ být doruÄena v listinnĆ© podobÄ nebo elektronickou poÅ”tou, nenĆ-li v kupnĆ smlouvÄ stanoveno jinak. OznĆ”menĆ se považujĆ za doruÄenĆ© a ĆŗÄinnĆ© okamžikem jejich dodĆ”nĆ prostÅednictvĆm poÅ”ty, s výjimkou oznĆ”menĆ o odstoupenĆ od smlouvy uÄinÄnĆ©ho kupujĆcĆm, kdy je odstoupenĆ ĆŗÄinnĆ©, pokud je oznĆ”menĆ kupujĆcĆm ve lhÅÆtÄ pro odstoupenĆ odeslĆ”no.
10.2. SmluvnĆ strany můžou bÄžnou korespondenci vzĆ”jemnÄ doruÄovat v listinnĆ© podobÄ nebo prostÅednictvĆm elektronickĆ© poÅ”ty, a to na adresu elektronickĆ© poÅ”ty uvedenou kupujĆcĆm v objednĆ”vce, resp. na adresu uvedenou na webovĆ© strĆ”nce prodĆ”vajĆcĆho.
11. ZĆVÄREÄNĆ USTANOVENĆ
11.1. Pokud vztah založený kupnĆ smlouvou obsahuje mezinĆ”rodnĆ (zahraniÄnĆ) prvek, pak strany sjednĆ”vajĆ, že vztah se ÅĆdĆ Äeským prĆ”vem. TĆmto nejsou dotÄena prĆ”va spotÅebitele vyplývajĆcĆ z obecnÄ zĆ”vazných prĆ”vnĆch pÅedpisÅÆ.
11.2. Co nenĆ upraveno kupnĆ smlouvou nebo tÄmito obchodnĆmi podmĆnkami, ÅĆdĆ se podpÅÆrnÄ Äeským zĆ”konem Ä. 89/2012 Sb., obÄanský zĆ”konĆk, v platnĆ©m znÄnĆ. 11.3. ProdĆ”vajĆcĆ a kupujĆcĆ uzavĆrajĆ prorogaÄnĆ dohodu (dohodu o volbÄ soudu), pÅiÄemž za pravomocný (mezinĆ”rodnÄ pÅĆsluÅ”ný) smluvnĆ strany volĆ Äeský soud.
11.4. Je-li nÄkterĆ© ustanovenĆ obchodnĆch podmĆnek neplatnĆ© nebo neĆŗÄinnĆ©, nebo se takovým stane, namĆsto neplatných ustanovenĆ nastoupĆ ustanovenĆ, jehož smysl se neplatnĆ©mu ustanovenĆ co nejvĆce pÅibližuje. NeplatnostĆ nebo neĆŗÄinnostĆ jednoho ustanovenĆ nenĆ dotknutĆ” platnost ostatnĆch ustanovenĆ.
11.5. ZmÄny a doplÅky kupnĆ smlouvy Äi obchodnĆch podmĆnek vyžadujĆ pĆsemnou formu.
11.6. KupnĆ smlouva vÄetnÄ obchodnĆch podmĆnek je archivovĆ”na prodĆ”vajĆcĆm v elektronickĆ© podobÄ a nenĆ veÅejnÄ ani kupujĆcĆmu pÅĆstupnĆ”.
11.7. PÅĆlohu obchodnĆch podmĆnek tvoÅĆ vzorový formulÔŠpro odstoupenĆ od kupnĆ smlouvy.

3. The Company processes the following personal data of the Personal Data Subjects (Customers):

4. The Data Subject is obliged to transmit their personal data specified in Paragraph 3 letters a), b), e) and f), without transmitting this personal data it is not possible to send the electronic order on the website of the Controller (and therefore conclude the Purchase Agreement for goods), nor is it possible to conclude a Purchase Agreement with the Controller individually (outside of the electronic order). Personal Data specified in Paragraph 3 letters c) and d) have to be transmitted only by the Data Subject acting in the course of their business (as an entrepreneur). Personal Data specified in Paragraph 3 letter g) has to be transmitted by the Data Subject only if it is necessary for a payment refund from the Controller; if the Data Subject pays via bank transfer, the Controller shall receive the information about the bank account number of the Data Subject from their bank statement.

Article 6 Paragraph 1 Letter b) of the GDPR, namely that processing is necessary for the performance of a contract to which the data subject is party or in order to take steps at the request of the data subject prior to entering into a contract.

Processing of the data specified in Article 3 Letters a), b) and c) is necessary because these are basic data of the Data Subject, without which the subject cannot be identified and the ordered goods cannot be delivered.
Processing of the data specified in Article 3 Letter e) (phone number) is necessary contact information for the customs authorities of the Data Subject, who may use the data to contact the Data Subject and communicate with them about the clearance of the goods when entering the country of destination. The data is transmitted to these authorities by the carrier of the goods, to whom the data is transmitted by the supplier of the goods in the Peopleās Republic of China (PRC). This data is necessary also for the Controller, for the supplier of the goods in PRC and for the carrier with the purpose of necessary communication regarding the transportation of the goods.
Processing of the data specified in Article 3 Letter f) (e-mail address) is necessary contact information for the purpose of communication between the Controller (Seller) and the Data Subject (Buyer). E-mail serves as means of distance communication for concluding the Purchase Agreement and for further legal actions or related communication between the Controller (Seller) and the Data Subject (Buyer).
Processing of the data specified in Article 3 Letter g) (bank account number) is necessary contact information if it is necessary to refund the payment received by the Controller back to the Data Subject.
Article 6 Paragraph 1 Letter c) of the GDPR, namely that processing is necessary for compliance with a legal obligation to which the controller is subject, namely for the purposes of processing and keeping accounts/tax records.
- this applies to the personal data specified in Paragraph 3 Letters a), b), c) and d).
6. The personal data of the Personal Data Subject shall be processed by the Company for the period of time necessary for exercising of rights and obligations resulting from the contractual relationship between the Company and the Personal Data Subject and for making claims based on such contractual relationship and further for 10 years after the termination of the contractual relationship. The Controller shall delete the personal data upon expiry of the retention period.
7. The personal data specified in Paragraph 3 Letters a), b) and e) shall be transferred to the supplier of the Controller in PRC, for which the Commission has not issued a decision about an adequate level of personal data protection according to the Article 45 of the GDPR. The transfer of the personal data is therefore based on a derogation in the sense of the provisions of Article 49 Paragraph 1 Letter b) of the GDPR, according to which the transfer is necessary for the performance of a contract between the data subject and the controller.
8. At present time the Company does not have any employees and the personal data is therefore processed directly by the statutory body of the Company and by the associates of the Company. If the Company has employees in the future and if these employees have access to the personal data due to the scope of their work, they will be bound by the obligation of secrecy to the Company.
9. Apart from the Data Subjects themselves, their personal data may further be transmitted to:
the Controllerās supplier in PRC, who is responsible for the shipment of the goods from PRC to the customers (this supplier only receives the data specified in Paragraph 3 Letters a), b) and e)),
the carrier of the goods ordered by the Data Subject (who only receives the data specified in Paragraph 3 Letters a), b) and e)),
public authorities of the country of destination (especially the customs authorities),
external accountant of the Company (billing information),
lawyer of the Company,
public authorities (court, law enforcement and criminal justice etc.),
distrainor or insolvency administrator.
10. Personal data of the Personal Data Subject are obtained directly from the Personal Data Subject.
11. Personal Data Subject shall have the right to access the personal data within the meaning of Article 15 of the Regulation. This includes the right to obtain from the Company confirmation as to whether or not personal data concerning him or her are being processed, and, where that is the case, access to the personal data and the following information:
list of personal data that are being processed,
the purposes of the processing of this personal data,
the recipients or categories of recipient to whom the personal data have been or will be disclosed,
where the personal data are not collected from the data subject, any available information as to their source,
the envisaged period for which the personal data will be processed or the criteria used to determine that period,
the existence of the right to request from the Company rectification/completion of the personal data within the meaning of Article 16 of the Regulation, the right to request erasure of the personal data (right to be forgotten) within the meaning of Article 17 of the Regulation, the right to restriction of processing of the personal data within the meaning of Article 18 of the Regulation, the right to object to processing of personal data within the meaning of Article 21 of the Regulation, the right to data portability within the meaning of Article 20 of the Regulation, the right to lodge a complaint with a supervisory authority within the meaning of Article 77 of the regulation and the right to a judicial remedy of the personal data subject within the meaning of Articles 78 and 79 of the Regulation.
The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.
The Company is obliged to respond in written form to requests from the Data Subject within the meaning of this Article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. Where response is delayed within the meaning of the previous sentence after the semicolon, the Company is obliged to inform the Data Subject within one month since the day of receiving the request and to include the reasons for the delay.
Where the Data Subject requests, the Company is obliged to issue him or her a copy of the personal data being processed, primarily in electronic form. Where the Personal Data Subject requests a copy in paper form, or where he or she does not provide to the Company an e-mail address for this purpose, the Company shall provide a copy in paper form. The Company charges an administrative fee of 0.2 EUR per paper for issuing a copy in paper form.
12. The Personal Data Subject has the right to request from the Company the rectification or completion of personal data within the meaning of Article 16 of the Regulation:
- by phone on the phone number specified in Article 1,
- on the e-mail address specified in Article 1,
- in paper form on the residing address of the Company.
Where the Personal Data Subject requests from the Company a reaction in witten form, he or she is obliged to send the request for exercising the right under this article in written form (to the e-mail address of the Company or in paper form - see above). The Company shall perform the rectification or completion and shall send to the e-mail address of the Personal Data Subject, from which the request has been sent, a confirmation of the rectification/completion. Where the Personal Data Subject sends the request in paper form and requests sending the information under this Article in paper form (or where he or she does not provide a contact e-mail address where the information under this Article can be sent in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.
The Company is obliged to provide on request of the Personal Data Subject information about measures taken in relation to his or her request under this article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. Where response is delayed within the meaning of the previous sentence after the semicolon, the Company is obliged to inform the Data Subject within one month since the day of receiving the request and to include the reasons for the delay.
13. Personal Data Subject has the right to request from the Company erasure of his or her personal data (right to be forgotten) within the meaning of Article 17 of the Regulation, only if:
the personal data are no longer necessary in relation to the purposes for which they are processed,
there is no legal ground for the processing of the data,
the personal data have been unlawfully processed,
the personal data have to be erased for compliance with a legal obligation.
Even when fulfilling the conditions specified above, the Personal Data Subject does not have the right to erasure of personal data when the processing is necessary:
for exercising the right of freedom of expression and information,
for compliance with a legal obligation under valid and effective legal regulations or for the performance of a task carried out in the public interest or in the exercise of official authority,
for archiving purposes in the public interest, scientific or historical research purposes or statistical purposes,
for reasons of public interest in the area of public health,
for the establishment, exercise or defence of legal claims.
The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.
The Company is obliged to provide on request of the Personal Data Subject information about measures taken in relation to his or her request under this article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. 14. Personal Data Subject has the right to request from the Company restriction of processing of his or her personal data within the meaning of Article 18 of the Regulation, only if:
the accuracy of the personal data is contested by the data subject, for a period enabling the Company to verify the accuracy of the personal data; this personal data shall for the time of restriction of processing be processed only within the meaning of storing for the establishment, exercise or defence of legal claims, for reasons of important public interest, for the protection of the rights of another natural or legal person or with the Personal Data Subjectās consent.
the processing is unlawful and the personal data subject does not want to exercise the right to be forgotten within the meaning of Article 17 of the Regulation and request the restriction instead
the Company no longer needs the personal data of the Personal Data Subject for the purposes of the processing, but they are required by the Data Subject for the establishment, exercise or defence of legal claims.
Where the Personal Data Subject exercises this right, the Company is obliged to inform him or her that the restriction of processing shall be lifted before it is lifted.
The Company is obliged to inform each recipient to whom the personal data of the Personal Data Subject has been disclosed about any rectification, erasure or restriction of processing of the personal data.
The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.

Where technically feasible, the data subject shall have the right to request the Company to transmit those personal data directly to another controller.
The request to exercise the right of the Personal Data Subject under this Article shall be sent by the Personal Data Subject to the e-mail address of the Company and the Company shall send the requested data to the e-mail address of the Personal Data Subject, from which the request has been sent. Where Personal Data Subject sends the request in paper format, and where he or she requests the information under this Article in paper format (or where he or she does not provide contact e-mail where he or she can receive the information under this Article in electronic form), he or she shall be charged an administrative fee of 4 EUR by the Company.
The Company is obliged to provide on request of the Personal Data Subject information about measures taken in relation to his or her request under this article without undue delay and at the latest within one month since the day of receiving the request; in case of special circumstances at the latest within two months since the day of receiving the request. 16. Where the Company does not take the measures requested by the Personal Data Subject, the Company is obliged to inform the Personal Data Subject about the reasons at the latest within one month since the day of receiving the request.
17. The Personal Data Subject shall have the right to lodge a complaint with a data protection authority within the meaning of Article 77 of the Regulation if he or she thinks that processing of his or her personal data lead to an infringement of the Regulation. The personal data subject shall have the right to an effective judicial remedy against a legally binding decision of the data protection authority or where the authority does not process the complaint and does not inform the Personal Data Subject about the processing of the complaint within three months since the day of lodging the complaint.

18. Personal Data Subject shall have the right to judicial remedy against the data protection authority and the Company as the controller of personal data. Further information about exercising the right to judicial remedy are specified in Articles 78 and 79 of the Regulation.
19. Where a personal data protection breach is likely to result in a high risk to the rights and freedoms of the Personal Data Subject (with the exception of cases where Article 34 of the GDPR regulation does not require the Company to undergo this process), the Company is obliged to notify the supervisory authority of any personal data breach without undue delay and not later than 72 hours after having become aware of it. Where the notification to the supervisory authority is not made within 72 hours, it shall be accompanied by reasons for the delay. The rule concerning the obligation to notify the supervisory authority of the data breach shall not be used if the breach is unlikely to result in a risk to the rights and freedoms of the Data Subjects. The notification to the data protection authority has to contain the essential information specified in Article 33 of the GDPR Regulation.

3. SpoleÄnost zpracovĆ”vĆ” nĆ”sledujĆcĆ osobnĆ Ćŗdaje subjektÅÆ osobnĆch ĆŗdajÅÆ (zĆ”kaznĆkÅÆ):
a) jmĆ©no a pÅĆjmenĆ, pÅĆpadnÄ titul,

4. 6. OsobnĆ Ćŗdaje subjektu osobnĆch ĆŗdajÅÆ zpracovĆ”vĆ” SpoleÄnost po dobu nezbytnou k výkonu prĆ”v a povinnostĆ vyplývajĆcĆch ze smluvnĆho vztahu mezi SpoleÄnostĆ a subjektem osobnĆch ĆŗdajÅÆ a uplatÅovĆ”nĆ nĆ”rokÅÆ z tÄchto smluvnĆch vztahÅÆ a dĆ”le po dobu 10 let od ukonÄenĆ smluvnĆho vztahu. 7. OsobnĆ Ćŗdaje dle odst. 3 pĆsm. a), b), e) budou pÅedĆ”ny dodavateli sprĆ”vce ĆŗdajÅÆ do ÄĆnskĆ© lidovĆ© republiky, ohlednÄ nĆž Komise nevydala rozhodnutĆ o odpovĆdajĆcĆ Ćŗrovni ochrany osobnĆch ĆŗdajÅÆ dle Äl. 45 GDPR. PÅedĆ”nĆ osobnĆch ĆŗdajÅÆ je tak založeno na výjimce ve smyslu ustanovenĆ Äl. 49 odst. 1 pĆsm. b) GDPR, dle kterĆ©ho je pÅedĆ”nĆ nezbytnĆ© pro splnÄnĆ smlouvy mezi subjektem ĆŗdajÅÆ a sprĆ”vcem.
8. V souÄasnĆ© dobÄ nemĆ” SpoleÄnost žÔdnĆ© zamÄstnance a osobnĆ Ćŗdaje tak zpracovĆ”vĆ” pÅĆmo statutĆ”rnĆ orgĆ”n SpoleÄnosti a SpoleÄnĆci spoleÄnosti. Bude-li mĆt SpoleÄnost zamÄstnance a budou-li mĆt tito zamÄstnanci s ohledem na svĆ© pracovnĆ zaÅazenĆ k osobnĆm ĆŗdajÅÆm pÅĆstup, budou SpoleÄnosti zavĆ”zĆ”ni povinnostĆ mlÄenlivosti.

11. Subjekt osobnĆch ĆŗdajÅÆmĆ” ve smyslu Äl. 15 NaÅĆzenĆprĆ”vo na pÅĆstup k osobnĆm ĆŗdajÅÆm. Toto zahrnuje prĆ”vo zĆskat od SpoleÄnosti potvrzenĆ, zda dochĆ”zĆ ke zpracovĆ”nĆ jeho osobnĆch ĆŗdajÅÆ, a pokud je zpracovĆ”vĆ”, pak prĆ”vo zĆskat pÅĆstup k tÄmto ĆŗdajÅÆm a k nĆ”sledujĆcĆm informacĆm:
seznam osobnĆch ĆŗdajÅÆ, kterĆ© jsou zpracovĆ”ny,
ĆŗÄel zpracovĆ”nĆ tÄchto osobnĆch ĆŗdajÅÆ,
pÅĆjemci nebo kategorie pÅĆjemcÅÆ, kterým osobnĆ Ćŗdaje subjektu osobnĆch ĆŗdajÅÆbyly nebo budou zpÅĆstupnÄny,
zdroje osobnĆch ĆŗdajÅÆ, nebyly-li zĆskĆ”ny pÅĆmo od subjektÅÆ osobnĆch ĆŗdajÅÆ,

Dojde-li k odkladu odpovÄdi ve smyslu pÅedchozĆ vÄty za stÅednĆkem, je SpoleÄnost povinna o tom subjekt ĆŗdajÅÆ informovat do jednoho (1) mÄsĆce ode dne obdrženà žÔdosti, vÄetnÄ uvedenĆ dÅÆvodÅÆ pro takový odklad.
Pokud o to subjekt osobnĆch ĆŗdajÅÆ požÔdĆ”, je SpoleÄnost povinna mu vydat i kopii osobnĆch ĆŗdajÅÆ, kterĆ© zpracovĆ”vĆ”, a to primĆ”rnÄ v elektronickĆ© podobÄ. PožÔdĆ”-li vÅ”ak subjekt osobnĆch ĆŗdajÅÆ o pÅedĆ”nĆ kopiĆ v listinnĆ© podobÄ, pÅĆpadnÄ neposkytne-li SpoleÄnosti pro tento ĆŗÄel e-mailovou adresu, poskytne SpoleÄnost kopie v listinnĆ© podobÄ. Za poskytnutĆ kopiĆ v listinnĆ© podobÄ ĆŗÄtuje SpoleÄnost administrativnĆ poplatek ve výŔi5,- KÄ/list.
12. Subjekt osobnĆch ĆŗdajÅÆ mĆ” prĆ”vo po SpoleÄnosti požadovat opravu Äi doplnÄnĆ osobnĆch ĆŗdajÅÆve smyslu Äl. 16 NaÅĆzenĆ, a to:
- telefonicky na tel. ÄĆslo specifikovanĆ© v bodÄ 1,
- na e-mailovou adresu specifikovanou v bodÄ 1,
- v listinnĆ© podobÄ na adresu sĆdla SpoleÄnosti.
Požaduje-li subjekt osobnĆch ĆŗdajÅÆze strany SpoleÄnosti pĆsemnou reakci, je povinen žÔdost o uplatnÄnĆ prĆ”va podle tohoto ÄlĆ”nku zaslatpĆsemnÄ (na e-mailovou adresu SpoleÄnosti nebo v listinnĆ© podobÄ - viz výŔe), s tĆm, že SpoleÄnost opravu Äi doplnÄnĆ provede, a subjektu osobnĆch ĆŗdajÅÆzaÅ”lena jeho e-mailovou adresu, z nĆž byla žÔdost odeslĆ”na, potvrzenĆ o provedenĆ opravy/doplnÄnĆ. ZaÅ”le-li subjekt osobnĆch ĆŗdajÅÆ žÔdost v listinnĆ© podobÄ, a požÔdĆ”-li zĆ”roveÅ o zaslĆ”nĆ informace dle tohoto ÄlĆ”nku v listinnĆ© podobÄ (pÅĆpadnÄ neuvede-li kontaktnĆ e-mail, kam mu bude možnĆ© informace dle tohoto ÄlĆ”nku zaslat v elektronickĆ© podobÄ), bude mu SpoleÄnostĆ naĆŗÄtovĆ”n administrativnĆ poplatek ve výŔi 100,- KÄ.

Dojde-li k odkladu odpovÄdi ve smyslu pÅedchozĆ vÄty za stÅednĆkem, je SpoleÄnost povinna o tom subjekt osobnĆch ĆŗdajÅÆinformovat do jednoho (1) mÄsĆce ode dne obdrženà žÔdosti, vÄetnÄ uvedenĆ dÅÆvodÅÆ pro takový odklad.
13. Subjekt osobnĆch ĆŗdajÅÆ mĆ” prĆ”vo po SpoleÄnosti požadovat výmaz svých osobnĆch ĆŗdajÅÆ (prĆ”vo být zapomenut) ve smyslu Äl. 17 NaÅĆzenĆ, to vÅ”ak pouze:
nejsou-li již tyto Ćŗdaje potÅebnĆ© pro ĆŗÄel, pro který jsou zpracovĆ”vĆ”ny,
neexistuje žÔdný prĆ”vnĆ dÅÆvod pro zpracovĆ”nĆ tÄchto ĆŗdajÅÆ,
byly-li osobnĆ Ćŗdaje zpracovĆ”ny protiprĆ”vnÄ,
je-li tÅeba, aby byly osobnĆ Ćŗdaje vymazĆ”ny ke splnÄnĆ prĆ”vnĆ povinnosti.
I kdyby byly splnÄny výŔe specifikovanĆ© podmĆnky, prĆ”vo na výmaz osobnĆch ĆŗdajÅÆsubjekt osobnĆch ĆŗdajÅÆnemĆ”, jestliže je zpracovĆ”nĆ nezbytnĆ©:
pro výkon prÔva na svobodu slova a informace,
pro splnÄnĆ prĆ”vnĆ povinnosti dle platných a ĆŗÄinných prĆ”vnĆch pÅedpisÅÆ, pÅĆpadnÄ pro splnÄnĆ Ćŗkolu ve veÅejnĆ©m zĆ”jmu nebo pÅi výkonu veÅejnĆ© moci,
pro ĆŗÄely archivace ve veÅejnĆ©m zĆ”jmu, vÄdeckĆ©ho Äi historickĆ©ho výzkumu nebo pro ĆŗÄely statistickĆ©,
z dÅÆvodu veÅejnĆ©ho zĆ”jmu v oblasti veÅejnĆ©ho zdravĆ,

14. Subjekt osobnĆch ĆŗdajÅÆ mĆ” prĆ”vo po SpoleÄnosti požadovat omezenĆ zpracovĆ”nĆ svých osobnĆch ĆŗdajÅÆ ve smyslu Äl. 18 NaÅĆzenĆ, to vÅ”ak pouze:
popĆrĆ”-li pÅesnost osobnĆch ĆŗdajÅÆ, a to po dobu, než pÅesnost SpoleÄnost ovÄÅĆ; tyto osobnĆ Ćŗdaje pak mohou být po dobu trvĆ”nĆ omezenĆ zpracovĆ”nĆ zpracovĆ”ny pouze ve smyslu uloženĆ pro urÄenĆ, výkon nebo obhajobu prĆ”vnĆch nĆ”rokÅÆ, v dÅÆležitĆ©m veÅejnĆ©m zĆ”jmu, pro ochranu zĆ”jmÅÆ jinĆ© fyzickĆ© Äi prĆ”vnickĆ© osoby, nebo jen se souhlasem subjektu osobnĆch ĆŗdajÅÆ,
je-li zpracovĆ”nĆ osobnĆch ĆŗdajÅÆ protiprĆ”vnĆ, a subjekt osobnĆch ĆŗdajÅÆ nechce využĆt prĆ”va být zapomenut ve smyslu Äl. 17 NaÅĆzenĆ, ale tohoto prĆ”va,
SpoleÄnostjiž osobnĆ Ćŗdaje subjektu osobnĆch ĆŗdajÅÆ nepotÅebuje pro ĆŗÄely zpracovĆ”nĆ, ale subjekt osobnĆch ĆŗdajÅÆje potÅebuje pro urÄenĆ, výkon nebo obhajobu prĆ”vnĆch nĆ”rokÅÆ.
Využije-li subjekt osobnĆch ĆŗdajÅÆ tohoto prĆ”va, je SpoleÄnost povinna jej jeÅ”tÄ pÅed uplynutĆm doby pro omezenĆ zpracovĆ”nĆ jeho osobnĆch ĆŗdajÅÆ informovat o tom, že bude omezenĆ zpracovĆ”nĆ zruÅ”eno.
SpoleÄnost je povinna informovat veÅ”kerĆ© pÅĆjemce osobnĆch ĆŗdajÅÆ subjektu osobnĆch ĆŗdajÅÆ o opravĆ”ch, výmazech nebo omezenĆ zpracovĆ”nĆ konkrĆ©tnĆch osobnĆch ĆŗdajÅÆ.
ŽÔdost o uplatnÄnĆ prĆ”va subjektu osobnĆch ĆŗdajÅÆ podle tohoto ÄlĆ”nku zaÅ”le subjekt osobnĆch ĆŗdajÅÆ na e-mailovou adresu SpoleÄnostis tĆm, že SpoleÄnost požadovanĆ© Ćŗdaje zaÅ”le na e-mailovou adresu subjektu osobnĆch ĆŗdajÅÆ, z nĆž byla žÔdost odeslĆ”na. ZaÅ”le-li subjekt osobnĆch ĆŗdajÅÆ žÔdost v listinnĆ© podobÄ, a požÔdĆ”-li zĆ”roveÅ o zaslĆ”nĆ informace dle tohoto ÄlĆ”nku v listinnĆ© podobÄ (pÅĆpadnÄ neuvede-li kontaktnĆ e-mail, kam mu bude možnĆ© informace dle tohoto ÄlĆ”nku zaslat v elektronickĆ© podobÄ), bude mu SpoleÄnostĆ naĆŗÄtovĆ”n administrativnĆ poplatek ve výŔi 100,- KÄ.

Subjekt osobnĆch ĆŗdajÅÆ mĆ” prĆ”vo na pÅenositelnost osobnĆch ĆŗdajÅÆ ve smyslu Äl. 20 NaÅĆzenĆ, kterĆ© zahrnuje prĆ”vo zĆskat osobnĆ Ćŗdaje, kterĆ© se jej týkajĆ, ve strukturovanĆ©m, bÄžnÄ použĆvanĆ©m a strojovÄ ÄitelnĆ©m formĆ”tu, a prĆ”vo pÅedat tyto Ćŗdaje jinĆ©mu sprĆ”vci osobnĆch ĆŗdajÅÆ, jsou-li tyto osobnĆ Ćŗdaje zpracovĆ”vĆ”ny automatizovanÄ. Je-li to technicky proveditelnĆ©, mĆ” subjekt osobnĆch ĆŗdajÅÆ prĆ”vo požadovat po SpoleÄnosti, aby byly tyto osobnĆ Ćŗdaje pÅedĆ”ny (zaslĆ”ny) jinĆ©mu sprĆ”vci ĆŗdajÅÆ napÅĆmo.

16. NepÅijme-li SpoleÄnost opatÅenĆ, o kterĆ© subjekt osobnĆch ĆŗdajÅÆ požÔdal, je SpoleÄnost povinna subjekt osobnĆch ĆŗdajÅÆ opÄt ve lhÅÆtÄ do jednoho (1) mÄsĆce ode dne pÅijetà žÔdosti informovat o dÅÆvodech.
17. Subjekt osobnĆch ĆŗdajÅÆ mĆ” prĆ”vo podat u ĆÅadu pro ochranu osobnĆch ĆŗdajÅÆ (dĆ”le takĆ© jen: āĆÅadā)ve smyslu Äl. 77 NaÅĆzenĆstĆžnost, domnĆvĆ”-li se, že zpracovĆ”nĆm jeho osobnĆch ĆŗdajÅÆ doÅ”lo ze strany SpoleÄnosti k poruÅ”enĆ NaÅĆzenĆ. Proti zĆ”vaznĆ©mu rozhodnutĆ tohoto ĆŗÅadu, nebo v pÅĆpadÄ, že se ĆŗÅad stĆžnostĆ nezabývĆ” nebo neinformuje-li subjekt osobnĆch ĆŗdajÅÆdo tÅĆ (3) mÄsĆcÅÆ ode dne podĆ”nĆ stĆžnosti o postupu ve vÄci je subjekt osobnĆch ĆŗdajÅÆoprĆ”vnÄn požadovat soudnĆ ochranu.

19. Je-li pravdÄpodobnĆ©, že urÄitý pÅĆpad poruÅ”enĆ zabezpeÄenĆ osobnĆch ĆŗdajÅÆ bude mĆt za nĆ”sledek vysokĆ© riziko pro prĆ”va a svobody subjektu osobnĆch ĆŗdajÅÆ (s výjimkou pÅĆpadÅÆ, kdy ustanovenĆ Äl. 34 NaÅĆzenĆ GDPR tento postup SpoleÄnosti neuklĆ”dĆ”), je spoleÄnost povinna ohlĆ”sit ĆÅadu jakĆ©koli poruÅ”enĆ zabezpeÄenĆ osobnĆch ĆŗdajÅÆ, a to ve lhÅÆtÄ bez zbyteÄnĆ©ho odkladu, nejpozdÄji do 72 hodin od okamžiku zjiÅ”tÄnĆ. Nestihne-li SpoleÄnost ohlĆ”sit poruÅ”enĆ zabezpeÄenĆ do 72 hodin, je povinna souÄasnÄ s pozdnĆm ohlÔŔenĆm uvĆ©st ĆÅadu dÅÆvody takovĆ©ho zpoždÄnĆ. Pravidlo o povinnosti oznĆ”menĆ poruÅ”enĆ zabezpeÄenĆ ĆÅadu se neuplatnĆ, pokud je nepravdÄpodobnĆ©, že by mÄlo za nĆ”sledek riziko pro prĆ”vo a svobody subjektÅÆ ĆŗdajÅÆ.
